Legal
Seller Terms
1. Eligibility & IP warranty
You must own the IP (or have clear rights) to list drawings. You warrant listings are original or properly licensed. CADBAY does not verify ownership before publish — you remain responsible for your listings and for any claims arising from them.
2. Copyright, client work, and personal data (guidance)
This section is practical guidance under common UK practice. It is not absolute legal advice. Appointment wording varies; if in doubt, check your contract or speak to a solicitor before uploading.
- Under UK practice, copyright in drawings usually stays with the architect, designer, or their practice. The client typically receives a licence to use the drawings for that project unless the appointment assigns copyright to the client.
- You may only list work on CADBAY that you own, or that you are clearly free to licence to buyers under our Licence Terms.
- Do not upload client project drawings if your appointment only grants a project licence (use on that job), or if the client owns the copyright. A project licence for a live commission is not the same as a right to sell those files as stock.
- Do not upload packs that contain client-confidential content — names, addresses, personal data, or project identifiers that identify living individuals or clients. Stripping that material insufficiently, or uploading personal data you are not entitled to publish, can breach UK GDPR and related data-protection duties. Sellers are responsible for ensuring listings contain no personal data they are not entitled to publish.
- Safer stock includes your own libraries, standard details, productised systems, and carefully anonymised packs with no client-identifying content.
3. Listings
- Accurate titles, formats, software, units, scale, and sheet metadata.
- No malware, no stolen CAD, no unlawful content.
- We may remove or refuse listings at our discretion.
4. Licence grant to buyers
You grant buyers the Personal / Commercial / Extended licence they purchase, on a non-exclusive basis unless we later offer exclusivity, under our Licence Terms.
5. Platform fee
CADBAY charges a platform fee of 25% of each sale (sellers receive 75%). Exact PayPal processing fees are separate and may be disclosed at checkout. This rate may be reviewed after early live sales. PayPal and other processor fees may also apply.
6. Payouts
Your seller share (75%) is released 21 days after the buyer's first successful download of the purchased files (or after any PayPal Marketplace digital-goods hold ends, whichever is later). Payment capture alone does not release funds. No release while a refund or dispute is open. If the buyer did not give a valid cooling-off waiver at checkout, we hold funds for at least 14 days from supply in addition to the download-based hold. Until PayPal multiparty payouts are live, releases are tracked in Admin and paid manually. You are responsible for tax on your earnings.
7. Refunds & chargebacks
If a refund is issued under the Buyer Refunds policy before your share is paid out, the studio receives £0 for that sale. If a refund or chargeback lands after payout, we deduct the corresponding amount from future payouts (clawback).
8. Termination
You may unpublish listings. Existing buyer licences survive. We may suspend sellers who breach these Terms.
